Hospital Lease:
The Hospital District initially leased the Hospital commencing 1 July 1985 to Hospital Management Associates, a Kentucky corporation and assigned to Sebring Hospital Management Associates, Inc., a Florida corporation. Guaranty of the Lease was made by H.M.A., INC., a Delaware corporation.
As consideration for the Lease, the Tenant discharged the Hospital District’s then capital debt, Patients’ Compensation Fund obligation, Hill-Burton obligations, real property taxes, and all other obligations. The Lease was amended and restated effective 1 January 1995. The First Amended and Restated Lease and the amendments thereto are set out below:
- First Amended and Restated Lease – 1995;
- First Amendment to Lease Agreement – 2011;
- Second Amendment to Lease Agreement – 2013;
- Third Amendment to Lease Agreement – 2014.
Sebring Health Services, LLC, a Delaware limited liability company, holds the Lease by virtue of the Assignment and Assumption of Hospital Lease effective 31 October 2017.
GALEN HOLDCO, LLC, a Delaware limited liability company, guaranteed the payment and performance of the Lease.
Operation of the Hospital:
The Hospital is operated by Sebring Health Services, LLC, a Delaware limited liability company, as Tenant under the Hospital Lease as amended.

Expiration of Lease:
The Lease of the Hospital to Sebring Health Services, LLC expires on 31 July 2027.
